Acceptance of Terms

By accessing our website, software, SaaS platforms, or services, you confirm that:

• You are legally competent to enter into agreements.
• You will comply with all applicable laws.
• Information provided by you is accurate and complete.
• You accept these Terms & Conditions.

User Responsibilities

You agree to provide accurate information, maintain confidentiality of your login credentials, use our services only for lawful purposes, cooperate in service delivery, and maintain ownership of marketplace accounts connected to our services. You agree not to misuse the platform, attempt unauthorized access, upload malicious software, engage in fraudulent activity, or interfere with service operations.

Account Access & Credentials

For certain services and SaaS products:

• Users may be required to create an account.
• Users are responsible for safeguarding credentials.
• Users are responsible for activities performed through their accounts.
• JGS reserves the right to suspend or terminate accounts suspected of misuse or security violations.

Payments & Billing

All fees are payable according to the agreed proposal, subscription plan, invoice, or contract.

• Payments may be required in advance.
• Subscription plans renew as specified at the time of purchase.
• Delayed payments may result in suspension of services.
• Taxes applicable under Indian law shall be borne by the client.

Refund Policy

Refund requests may be considered if:

• Services have not yet commenced.
• Duplicate payments were made., Technical billing errors occurred.

Non-Refundable Situations

Refunds shall not apply when:

• Services have already started or work has been completed or partially delivered
• Campaigns, advertisements, listings, or consulting activities have begun.
• Third-party platform costs have been incurred.
• Custom development or customized services have been initiated.

Cancellation Policy

Clients may request cancellation by emailing [email protected]. Cancellation requests will be reviewed within a reasonable timeframe.

• Cancellation shall not automatically create entitlement to a refund.
• Any outstanding dues must be cleared before account closure or project termination.

Intellectual Property

All content, designs, software, frameworks, graphics, logos, text, documentation, reports, dashboards, and website materials remain the property of JGS unless otherwise agreed in writing.

• Users may not copy, reproduce, distribute, modify, sell, or republish any proprietary material without written permission.

Client Content & Data

Clients retain ownership of their product data, brand assets, marketplace content, and business information. By using our services, you grant JGS limited authorization necessary to perform contracted services.

• All content provided by you must be lawful.
• Must not infringe intellectual property rights.
• Must not violate platform policies.

Data Usage & Confidentiality

JGS may process client information solely for service delivery, account management, reporting, technical support, and legal compliance. We maintain reasonable safeguards to protect confidential information.

• Confidential information shall not be disclosed except with client authorization, to authorized service providers, or when legally required.

Third-Party Platforms

Many JGS services involve third-party platforms including Amazon, Flipkart, Shopify, Walmart, Blinkit, Meta, Google, and other marketplace or advertising systems. JGS does not own or control these platforms.

• We are not responsible for platform policy changes.
• Not liable for account suspensions by third parties
• Not responsible for marketplace outages, advertising restrictions, or third-party technical failures.

Limitation of Liability

We strive to maintain uninterrupted services, but do not guarantee services will always be available or error-free. To the fullest extent permitted by law, JGS shall not be liable for indirect damages, consequential damages, loss of profits, data loss, platform suspensions by third parties, or advertising performance fluctuations.

• Our total liability shall not exceed the fees paid for the specific service giving rise to the claim.

Indemnification & External Links

You agree to indemnify and hold harmless JGS, its directors, employees, contractors, and affiliates against any claims, losses, or expenses arising from misuse of services, violation of these Terms, violation of applicable laws, or infringement of third-party rights.

• JGS is not responsible for the content, security, privacy practices, or availability of external websites.
• Users access such websites at their own risk.

Suspension, Termination & Force Majeure

JGS may suspend or terminate access to services if Terms are violated, fraudulent activity is detected, required payments remain outstanding, or user conduct poses security or operational risks. Termination does not relieve outstanding payment obligations.

• JGS shall not be liable for delays resulting from natural disasters, government actions, internet outages, cyber incidents, labor disruptions, power failures, or third-party service interruptions.

Governing Law & Changes to Terms

We reserve the right to modify these Terms & Conditions at any time. Updated versions will be posted on our website and continued use constitutes acceptance. These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Jaipur, Rajasthan, India.
